10. Your Obligations

10.1 As part of this contract, you agree that:

10.1.1 You will make your own arrangements for any hardware, software, internet access, and any other resources or facilities that you need for the short course outside of what we may specifically mention in the short course description;

10.1.2 You will engage, as reasonably required, with the short course, and we do not confirm, or guarantee in any way any outcomes;

10.1.3 You meet the requisite proficiency in the English language for the short course and we in no way bear any responsibility for your failure to do so;

10.1.4 You will abide by all the student commitments set out in our Student Charter, a copy of which can be downloaded from our website, and that a failure to do so, including bringing the School into disrepute, may amount to a breach of contract entitling us to cancel this contract and seek appropriate remedies;

10.1.5 You will abide by all our relevant policies and regulations, including our Drugs and Alcohol Misuse Code of Conduct, IT Regulations, Health and Safety Policy, and Artificial Intelligence (AI) Policy. Copies of all our regulations and policies can be found on our website;

10.1.6 You will not record, whether by audio, video, or any other means, any sessions or content from our short courses, whether for personal use or otherwise;

10.1.7 You will use the School’s library and resources in strict compliance with the respective licences and conditions of use.

10.1.8 You will not share licensed materials with anyone other than users authorised by the School (authorised users);

10.1.9 You will not upload any content from licensed materials to social media sites or any other unauthorised platforms;

10.1.10 You will not alter, modify, or create derivative works from licensed materials without express permission from the licensor;

10.1.11 You will not remove, obscure, or tamper with copyright notices or any other proprietary notices embedded in licensed materials;

10.1.12 You will not using licensed materials for any commercial purposes or for financial gain;

10.1.13 You will not extensively or systematically download, reproduce, or distribute licensed materials in any manner that contravenes the terms of the licence; and

10.1.14 You will always act lawfully, and will be liable to the School any loss or damage it suffers because of your actions under law.

10.2 Access to the School’s library and resources is strictly limited to authorised users. Authorised users will be provided with unique access credentials, which must not be shared with any unauthorised individuals or entities.

10.3 You are required to comply with all copyright and licensing regulations when using the School’s library and resources. It is your responsibility to independently familiarise yourself with the specific regulations stipulated by the respective content providers.

1. Purpose: Introduction

1.2 The following definitions apply:

  • We/us/our: means the London School of Innovation Ltd
  • You/your: means the participant who has booked for the relevant short course
  • Credit-bearing short course: means a course delivered by the London School of Innovation Validated under the New Programme and Module Approval and Modification Regulations as leading to Credit Accumulation and Transfer System (CATS) at Level 4-7 of the FHEQ
  • Non-Credit bearing short course: means a course delivered by the London School of Innovation not leading to Credit Accumulation and Transfer System (CATS) credits
  • Flexible online short course: means a short course that is delivered wholly online with no live element
  • In-person short course: means a short course that is delivered with a live element, either at site or remotely 
  • Blended short course: means a short course that is delivered by a combination of flexible online content and in-person 
  • Short course: is the general name given to all short courses and includes all of the above short courses 
  • Contract: means the terms and conditions in this document, which have legal effect from the moment the London School of Innovation sends a confirmation that a participant who has booked for a relevant short course has a place on one of its short courses
  • Regulations and Policies: means the regulations and policies of the London School of Innovation

1.1 When we send a confirmation that you have a place on an short course, this establishes a contract between you and us based on the terms and conditions in this contract. You agree to be legally bound by these terms and conditions, and any applicable regulations and policies referred to in these terms and conditions. You should read these terms and conditions and those regulations and policies in full, all of which are available on the School's website, before booking on a short course as they will bind you once we send confirmation of your place.

11. Credit-Bearing Short Courses

11.1 Unless specifically stated as a 'credit-bearing short course' in the short course specification on the website, our short courses do not lead to any academic credits.

11.2 Given that credit-bearing short courses lead to academic credits, the School applies the academic standards set out in the Academic Regulations, especially the: Assessment Regulations; Extenuating Circumstances Regulations; Marking, Grading, and External Scrutiny Regulations; Examination Boards and Academic Appeal Regulations; External Examiner Regulations; and Module, Progression, and Award Regulations. All the academic regulations apply to short courses.

11.3 Students on credit-bearing short courses must read all the School’s regulations and policies, which can be accessed via the School’s website and AGS. They form part of the contract under which students take credit-bearing short courses at the School.

11.4 Under the academic regulations, students on credit-bearing short courses can apply for extenuating circumstances.

11.5 Further, the Assessment Regulations set out how summative assessments on credit-bearing short courses will be set, marked, scheduled, and important rules on academic integrity that apply; and under the Module, Progression, and Award Regulations, all such credit-bearing short courses come under the Examination Board processes at the School. Marks and awards must be ratified by an Examination Board and go through the standards and processes set out in the academic regulations. This includes with regards to the issuing of transcripts and certificates.  

11.6 Students will be informed about all academic regulations during the welcome week, can access the academic regulations from the website, and may contact the School about academic regulations. 

8. Liability

8.1 We will be liable to you for any direct and foreseeable loss or damage you suffer if we:

8.1.1 Fail to reasonably carry out our obligations under this agreement; 

8.1.2 Breach any duties we owe you that the law imposes on us. This includes negligence causing death or personal injury, and duties relating to fraud or fraudulent misrepresentation.

8.2 We will not be responsible for events outside our control that we could not have foreseen or prevented even with reasonable care, such as industrial action, over or under-demand from students, staff illness, significant changes to higher education funding, severe weather, fire, civil disorder, political unrest, government restrictions and concern regarding the transmission of serious illness. We reserve the right to change or cancel all or any part of your programme in such cases.

8.3 The School excludes liability for:

8.3.1 Loss or damage to your property (including, vehicles, personal technology, or other items) unless it is caused directly and foreseeably by negligence or fault on the part of the School or its staff;

8.3.2 Indirect, unforeseeable, or consequential loss or damage;

8.3.3 Loss of opportunity, income or profit; 

8.3.4 Loss or damage reasonably be attributed to your actions or those of a third party.

8.4 Except for any liability in negligence for death and personal injury, for fraud or fraudulent misrepresentation, or for any matter we cannot exclude or limit by law, the School's total liability resulting from a breach of contract or statutory duty, or resulting from tort, misrepresentation, or any other liabilities, is limited to the value of tuition fees paid by you to the School.

8.5 It is your responsibility to have adequate insurance coverage for your personal belongings before coming to the School.

8.6 The School does not in any way limit its liability for:

8.6.1 Death and personal injury caused by negligence on the part of the School or its staff; 

8.6.2 Fraud or fraudulent misrepresentation;

8.6.3 Any matter it cannot exclude or limit by law.

8.7 Subject to any limitations outlined in this section, the School disclaims all liability for the misuse of its library or resources. In the event that a claim is brought against the School due to your breach of copyright or licensing regulations, you agree to fully indemnify the School for any resulting claims, damages, or legal expenses.

4. Information and Contract

4.1 Key information about all our short courses, including the name of the short course, description, contents, entry level, length of course, mode of delivery, academic level, credit status, and fees and charges, are available in the relevant short course specification on our website. If you have any questions at all about our short courses, please email us admissions@lsi-ac.uk

4.2 When you submit a form to book a place on one of our short courses, this amounts to an offer to us to undertake that short course. It does not form a contract. A contract is established between us and you when we send a confirmation that you have a place on that short course.

4.3. We will only send a confirmation of your place on that short course, either automatically or manually, once you have completed the full booking form, met all entry criteria applicable for the short course, and we have accepted you on to the course. You will then have to pay the fee and charges and register as stipulated on our website. All publicised payments are in pound sterling (£). This is subject to the cancellation and refund rights below. 

4.4 Payments are usually made by credit or debit card through our online payment platform on the short courses booking page at the same as booking. If you wish pay through bank transfer to the School's bank account, then please email admissions@lsi-ac.uk We can also invoice a third-party, such as an employer, if you email admissions@lsi-ac.uk

4.5 Failure to make payments may result in enforcement action, including engaging relevant agencies. The Director of Operations is responsible for ensuring the collection of all outstanding payments and taking appropriate remedial actions if sums become overdue.

15. General

15.1 This contract is between us and you (the parties) and cannot be enforced by anyone other than the parties. This agreement is personal to you, and you are not allowed to transfer or assign it, or any of its rights and obligations, to a third party.

15.2 If any portion of this agreement is or becomes void, illegal, invalid, or unenforceable, that shall not affect the validity of the other provisions.

15.3 These terms and conditions, along with the documents mentioned herein, supersede any other communication, document, or representation written or spoken by us.

15.4 Neither side intends any third party to be able to enforce any provision of this agreement under the Contracts (Rights of Third Parties) Act 1999.

15.5 Omitting to enforce any of the clauses of this agreement will not be considered a waiver of that or any other provision.

15.6 Any reference to a statute or regulation will include any amendments made at any time.

15.7 The relationship between us shall be regulated by and according to the laws of England and Wales, and both parties agree to submit to the exclusive jurisdiction of the Courts of England and Wales.

5. International Participants

5.1 The School invites applications from international participants to all its short courses.

5.2 Insofar as an international participant wishes to attend an in-person or blended short course at the School, it is their responsibility to ensure that they have the requisite immigration clearance. The School cannot sponsor a student to attend a short course.

5.3 By entering this contract, you consent to us sharing any data that we are obliged to do so with the UK authorities.

7. Changes to Short Courses

7.1 We may have to disrupt or change the delivery of our services, including the content and delivery of short courses. This includes for academic, School, governmental, or regulatory reasons, or because of health and safety requirements.

7.2 In all such circumstances within our reasonable control, we will take all reasonable steps to minimise disruption, including the provision of suitable solutions. You will be notified by email and/or in person as soon as possible to minimise disruption.

7.3 If we can fulfil the contract through such suitable solutions, you will not be entitled to a refund and the School’s liability sections below will apply.

7.4 In all other cases, the School’s liability sections below will apply.

9. Our Obligations

9.1 As part of this contract, we will deliver the short course subject to this contract with reasonable skill and care.

9.2 We will inform you how you can begin your short course. This will include accessing the course content required for your short course.

9.3 You will be allowed to continue your studies to completion without undue interruption.

9.4 You will have access to course content for 20-working days after your short course formally ends, after which access will cease.

9.5 The School reserves the right to amend the terms of use for its library and resources at any time without prior notice. Continued use of the library and resources after any changes signifies your acceptance and agreement to adhere to the amended terms of use.

6. Consumer Protection and Cancellation

6.1 The terms of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply to this contract. Under it, if as a consumer you have formally entered a contract with us away from our premises, then you have 14-days in which to cancel the contract from the moment that we send you a confirmation that you have a place on one of our short courses. This can be done via a model cancellation form that can be completed on our website, or a clear statement to cancel the contract via an email to admissions@lsi-ac.uk or letter to our registered address above.

6.2 If you cancel the contract within this 14-day period, it will end the contract between us, and we will reimburse the payments we have received from you in relation to the cancelled contract through the same means used for the payments.

If you ask us to provide you with a service, for example, by starting the short course, we can charge you a reasonable sum based on how much of the short course you have undertaken.

6.3 In circumstances where the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply, including where any cancellation period has passed, the following rules on cancellations and refunds will generally apply:

6.3.1. If you have started a short course with us, you will be charged 100% of the short course fee, and any additional fees and charges for the short course, as stipulated in the short course description on our website.

6.3.2. If you have not started a short course with us, you will be charged 50% of the short course fee, and any additional fees and charges for the short course, stipulated in the short course description on our website, for any cancellation made 10 working days or more before the formal start date of the short course; and 100% of all the sums due if the cancellation is made within 10 working days of the formal start date of the short course.

12. Data Protection

12.1 Our Data Protection Policy, which can be found on our website, applies to short courses.

12.2 We need to process certain personal information to deliver our core functions, operate effectively as an organisation, and meet legislative, contractual, and statutory obligations. In practice, for example, this means that you recognise and consent, by entering this contract, that the data you disclose during your short course may be processed by us to deliver that course to you effectively, and that it may also be used by other students on that course with respect to their learning.

12.3 We will comply with all laws when it comes to your data.

3. You

3.1 Unless otherwise specified in the short course specification, our short courses can only be booked by those over the age of 18. By booking on one of our short courses, you confirm that you are 18 or over.

3.2 We reserve the right to refuse anyone under the age of 18 a place on one of our short courses, or cancel a booking for anyone under the age of 18.

14. Breaches

14.1 The following is an illustrative and non-exhaustive list of possible material breaches that may entitle us to terminate the contract:

14.1.1 Submitting false, inaccurate, or misleading information in your application;

14.1.2 Failing or ceasing to meet immigration requirements (for any reason);

14.1.3 Gaining any criminal conviction, or bringing the school into disrepute

14.2 Breaching the terms of use for the library and resources may result in suspension or expulsion from accessing these facilities. Depending on the severity of the breach, further action may be taken in accordance with the School’s regulations and policies.
